Dual Class Shares in Europe: A German Perspective

In 2024, ahead of the harmonisation of requirements for the issuance of multiple voting shares at the EU level, Germany has amended its Stock Corporation Act and reintroduced dual class share structures (which had been banned since 2003). This step has been motivated by the desire to promote incorporations and listings in Germany among the founders of innovative enterprises. With the reintroduction of dual class share structures, Germany thus follows a broader international trend - and seeks to strengthen its attractiveness as a pro-growth market. The presentation analyses the recent reform in the light of international experiences with dual class share structures.
