The Fifth Italian-German Symposium on Company Law
The Fifth Italian-German Symposium on Company Law took place on the 16th and 17th of April at the Campus of Bolzano.
The event was organized by Prof. Peter Agstner (Free University of Bozen-Bolzano), in cooperation with the Max Planck Institute for Comparative and International Private Law and the University of Padua. The Competence Centre for the Management of Cooperatives co-sponsored the event.
The two-day symposium addressed two central topics in company law and the financing of innovative enterprises. The first day focused on different forms of startup financing by institutional investors (such as banks, venture capital firms, and private equity funds) with particular attention to the legal aspects of investment agreements and the most efficient forms of equity participation in innovative companies. The second day, in contrast, concentrated on the prevention and management of conflicts within corporations. These themes are also highly relevant for the cooperative sector, particularly with regard to access to external capital and the management of conflicts between governance bodies and the membership base. The event brought together leading scholars and practitioners in this area of law from Italy and Germany and through in-depth exchange and comparative perspectives, underscored the importance of an interdisciplinary and international approach to addressing current legal and economic challenges. Following the symposium, the Competence Centre for the Management of Cooperatives organized a dedicated seminar to further deepen the exchange in a more focused setting with colleagues from the Max-Planck Institute in Hamburg. The discussion explored opportunities for future joint research projects, including comparative analyses between the cooperative model and alternative legal forms, as well as its role within the broader landscape of social enterprise models in Europe. Particular attention was also given to innovative and emerging financing mechanisms for cooperatives, including the role of cooperative financial institutions in supporting new business ventures, thereby opening up new avenues for collaboration and research.
